What is the Certificate of registered seal?

The system or culture of certificate of registered seal (called “印鑑証明書”) can be seen only in limited counties such as Japan, Taiwan, China and Korea.

The seal registration system in Japan is a system for certifying individuals and corporations by seals registered with government and municipal offices. In other words, it is a system to prove that a person owns the seal certainly. This is used as the mean to proof of identity.

When is the Certificate of registered seal required?

When applying for a change of directors or an assumption of office, etc., the Legal Bureau will require you to attach a certificate of registered seal “印鑑証明書”.

What to do if we don’t have a seal registered?

In cases where Directors living outside of such jurisdiction do not have their 印鑑証明書, they need to prepare the certificate of signature alternatively.

What is the certificate of signature?

The certificate of signature is a certificate that certifies to the authenticity of a person’s signature.

The certificate of signature need to be notarized by Notary Public of their own countries or authorized by their own countries’ authorities.

What do their “own countries” mean?

Let’s looks at some example below:


A is a Singaporean living in Singapore.

➡ In this case, he needs to prepare the certificate of signature notarised by Singapore notary public in Singapore.


B is a Singaporean living in China.

➡ He/she needs to prepare the certificate of signature notarised by Singaporean notary public in China in principle.


However, nowadays, it is impossible in China.

In this case, he/she can prepare it notarised by Chinese notary public in China as an exception.

In that case, additionally, a certain document called ‘Petition’ will be required by Legal Bureau.
